These Terms of Service ("Terms") govern your access to and use of Prometheus, including our website, applications, APIs, and related services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms, and "you" includes that entity.
You must be at least 18 years old and legally capable of entering into a binding contract to use the Service.
You must provide accurate, current, and complete information and keep your credentials secure. You are responsible for all activity under your account, including activity initiated by users, agents, integrations, or workflows configured through your account.
You must promptly notify us of any unauthorized access or suspected security incident involving your account.
We may refuse registration, limit access, or suspend accounts at our discretion where necessary for legal, security, abuse-prevention, fraud-prevention, or operational reasons.
Prometheus is an AI-powered platform that helps users create, operate, and manage companies, workflows, assets, and communications. Depending on your configuration and enabled features, the Service may:
The Service includes experimental and AI-generated functionality. Outputs may be inaccurate, incomplete, offensive, unlawful, or unsuitable for your intended purpose. You are solely responsible for reviewing, approving, and monitoring outputs and actions taken through the Service.
Prometheus is not a law firm, accountant, financial advisor, broker-dealer, fiduciary, recruiting firm, or regulated professional service provider, and nothing in the Service constitutes legal, tax, accounting, investment, medical, or other regulated advice.
We do not guarantee any business outcome, revenue, growth, funding, customer acquisition, deliverability, uptime, ranking, legal compliance, or error-free operation.
We do not guarantee that outputs will be unique, accurate, complete, secure, or fit for your intended use. You are solely responsible for deciding whether to rely on or act on outputs, recommendations, or automations.
You may not use the Service to, or to attempt to:
We may investigate, suspend, throttle, freeze, or terminate access immediately if we believe your use poses legal, reputational, safety, abuse, or operational risk.
You are responsible for:
You are responsible for obtaining any necessary consents, notices, or permissions before using the Service to contact people, process their data, or access third-party systems.
The Service may rely on third-party providers, including cloud hosts, payment processors, email providers, model providers, and infrastructure vendors. Your use of third-party services may be subject to separate terms and policies.
We are not responsible for third-party services, third-party outages, third-party content, third-party policy changes, or third-party actions. We may add, remove, or replace providers at our discretion.
Pricing, plan features, trial length, promotional offers, and billing terms are as shown on the pricing page, in-product, or at checkout at the time you subscribe.
Subscriptions renew automatically until canceled. By subscribing, you authorize us and our payment processor to charge the applicable fees, taxes, and renewals using your selected payment method.
Unless otherwise stated by law or in a specific written offer, payments are non-refundable.
You may cancel at any time, and cancellation will take effect at the end of the current billing period unless otherwise stated at checkout or required by law.
We may change pricing, plan structure, or included features prospectively. Where required, we will provide notice before changes take effect for future billing periods.
If your payment method fails or your account becomes delinquent, we may suspend or downgrade access, pause automations, or terminate the Service.
Any promotional or early-access pricing, trials, discounts, or special offers are subject to the terms shown at the time of the offer and may be limited by time, eligibility, geography, account history, or availability.
We may modify or discontinue promotions prospectively. Promotional eligibility may be verified and may be revoked for abuse, fraud, or violation of these Terms.
You agree we may send you operational communications related to your account, security, billing, onboarding, support, and product activity.
Where you configure outbound messaging or support workflows, the Service may send messages on your behalf or at your direction. You are solely responsible for recipient targeting, consent, legal basis, and compliance.
We may impose limits, throttles, review steps, or restrictions on outbound or autonomous communications at any time.
The Service may provision or manage websites, code repositories, databases, integrations, or third-party resources on your behalf. You are responsible for reviewing and exporting any data or assets you want to retain.
Where the Service creates or manages external resources for you, access, availability, and deletion timing may depend on the applicable provider and your account state.
Upon suspension, termination, or deletion, we may disable, remove, or schedule deletion of associated resources and workflows. We are not responsible for your failure to export data or assets before deletion.
As between you and us, you retain ownership of the content and materials you submit to the Service, subject to the rights you grant below.
You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, transmit, and otherwise use your content, data, and materials as necessary to provide, secure, support, improve, and operate the Service.
We retain all rights, title, and interest in the Service, including all software, workflows, interfaces, documentation, designs, and underlying technology, excluding your content.
We may use aggregated and de-identified data for analytics, security, operations, and improvement purposes.
Your use of the Service is also governed by our Privacy Policy.
We use reasonable technical and organizational measures designed to protect the Service and user data. However, no system is completely secure, and we do not guarantee absolute security.
You are responsible for securing your own endpoints, credentials, third-party accounts, API keys, and connected systems.
We may suspend, freeze, throttle, disable, or terminate any account, company, workflow, or feature immediately, with or without notice, if we believe it is necessary for legal, abuse-prevention, fraud-prevention, safety, payment, or operational reasons.
We may also delete or disable content, outputs, automations, or infrastructure that we believe violates these Terms or creates risk.
You may stop using the Service at any time. Account or company deletion may be irreversible.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
WE DO NOT WARRANT THAT THE SERVICE, OUTPUTS, OR AUTOMATIONS WILL BE LAWFUL, ACCURATE, RELIABLE, OR SUITABLE FOR YOUR USE CASE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE AND EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You will defend, indemnify, and hold harmless Prometheus, its affiliates, and its and their officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules, except to the extent mandatory consumer-protection or other non-waivable laws apply in your jurisdiction.
Before filing a claim, each party will try in good faith to resolve the dispute informally by written notice.
To the maximum extent permitted by law, disputes not resolved informally will be resolved by binding arbitration administered by the American Arbitration Association under the applicable AAA rules.
You and we waive any right to a jury trial and, to the maximum extent permitted by law, any right to participate in a class action, class arbitration, or representative proceeding.
If arbitration is not enforceable for a particular claim or jurisdiction, the claim will be brought exclusively in the state or federal courts located in Delaware, and you consent to venue there, except where mandatory law gives you the right to proceed elsewhere.
Nothing in these Terms is intended to deprive consumers of mandatory rights under applicable law, including non-waivable rights under consumer-protection laws.
You may not use the Service in violation of U.S. export control, sanctions, or trade laws, or permit access by prohibited persons, entities, or jurisdictions.
We may modify the Service or these Terms from time to time. If we make material changes, we may provide notice by posting the updated Terms, through the Service, or by other reasonable means. Your continued use after the effective date of updated Terms constitutes acceptance.
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of assets.
We are not liable for delays or failure caused by events beyond our reasonable control, including outages, acts of God, war, terrorism, labor disputes, internet failures, provider outages, government actions, or infrastructure failures.
These Terms, together with the Privacy Policy and any pricing or order terms presented to you, are the entire agreement between you and us regarding the Service.
If any provision is held unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law. Failure to enforce any provision is not a waiver.
